1.Acceptance of these terms

By accessing this website, creating an account, placing an order, or purchasing any product from USA Med Peptides, you agree to be bound by these Terms and Conditions, our Privacy Policy, and any policies referenced here, all of which are incorporated by reference. If you are entering into this agreement on behalf of a company, institution, or other entity, you represent that you have the authority to bind that entity, and "you" refers to both you individually and that entity. If you do not agree to these terms, do not use this website and do not purchase our products.

2.Definitions

• "Products" means the peptides and related products offered for sale by USA Med Peptides.
• "Provider Use Only" or "PUO" means supply restricted to Licensed Providers purchasing for use within their professional practice, and excludes retail sale to consumers.
• "Licensed Provider" means a physician, nurse practitioner, physician assistant, or other healthcare professional holding an active license in good standing, or a practice or facility acting through such a professional, with the training and competence to acquire, handle, store, and use the Products lawfully within the scope of that license.
• "Site" means usamedpeptides.com and any associated subdomains or successor domains operated by USA Med Peptides.

3.Provider-only supply

All Products sold by USA Med Peptides are supplied exclusively to Licensed Providers for use within their professional practice. Products are supplied as bulk peptide preparations; they are not supplied, marketed, or labeled as FDA-approved finished drugs. The following restrictions apply to every order:

• Products may be purchased only by a Licensed Provider or by authorized staff ordering on behalf of a provider practice;
• Products may not be resold or transferred to consumers or to any party who is not a Licensed Provider;
• Any clinical, professional, or practice application of a Product is made solely under the purchasing provider’s own license, professional judgment, protocols, and responsibility, and in compliance with all laws and regulations applicable to that provider;
• Products may not be marketed or represented by you as FDA-approved, or with any claim that they diagnose, treat, cure, or prevent any disease;
• Products may not be used in violation of any federal, state, or local law or regulation.

By purchasing, you affirm that you are a Licensed Provider or an authorized representative of one, that all licensure information you provide is accurate and current, and that you accept sole responsibility for the use, handling, storage, administration decisions, and disposal of all Products you receive.

4.Not a pharmacy; no medical advice; regulatory status

USA Med Peptides is a supplier of peptide products to licensed medical providers. USA Med Peptides is not a pharmacy, a compounding pharmacy (503A), an outsourcing facility (503B), a wholesale drug distributor, a clinic, or a healthcare provider, and USA Med Peptides does not dispense, prescribe, or compound medications. Nothing on this Site constitutes medical, clinical, pharmaceutical, veterinary, legal, or regulatory advice, and no statement on this Site should be interpreted as a recommendation for any use beyond controlled laboratory research.

Products have not been evaluated or approved by the U.S. Food and Drug Administration or any comparable regulatory authority for safety or efficacy in humans or animals. No claim is made, expressly or by implication, that any Product is safe or effective for any human or animal application, or that any Product diagnoses, treats, cures, mitigates, or prevents any disease or condition.

5.Eligibility and account responsibility

You must be at least 21 years of age, of legal capacity to form a binding contract, and not barred from purchasing under any applicable law to use this Site or purchase Products. We may, at our sole discretion, require verification of your age, identity, professional status, institutional affiliation, or research purpose, and we may refuse, limit, or cancel any order for any lawful reason.

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it updated. You must notify us promptly of any unauthorized use of your account.

6.Buyer representations and compliance

By placing an order, you represent, warrant, and agree on a continuing basis that:

• You are acquiring Products solely for lawful professional use within your licensed practice, within the meaning of these terms;
• You will comply with all applicable federal, state, local, and international laws, regulations, rules, and ordinances governing the purchase, import, export, possession, handling, storage, transport, use, and disposal of the Products, including any controlled substance, hazardous material, and import or export control requirements;
• You possess the knowledge, training, facilities, and any required licenses or registrations necessary to handle the Products safely and lawfully;
• You will not relabel, repackage, alter, or misrepresent any Product, and you will not remove or obscure any RUO designation, lot identifier, or safety information;
• You are not purchasing on behalf of, or for delivery to, any person or entity for a purpose prohibited by these terms or by law;
• All information you provide to us is truthful and accurate.

You are solely responsible for determining whether any Product is lawful to purchase, possess, and use in your jurisdiction. USA Med Peptides makes no representation that any Product is appropriate or available for use in any particular location.

7.Prohibited uses

You may not, and may not permit any third party to:

• Use any Product in or on the human body or any animal, or for any clinical, diagnostic, or therapeutic purpose;
• Resell, distribute, or transfer any Product to any person you know or reasonably should know intends a use prohibited under these terms;
• Use any Product or the Site for any unlawful purpose or in violation of any law or regulation;
• Make, or cause to be made, any human use, supplement, or therapeutic claim regarding any Product;
• Access the Site through automated means, attempt to interfere with its operation, or attempt to gain unauthorized access to any system or data.

Any breach of this section is a material breach of these terms and constitutes a complete release of USA Med Peptides from, and an assumption by you of, all resulting risk and liability.

8.Orders, pricing, and payment

All orders are offers to purchase and are subject to acceptance by USA Med Peptides. We may accept or decline any order, in whole or in part, and we may cancel an accepted order before shipment, including where we suspect fraud, misuse, error, or a violation of these terms. Prices, product descriptions, and availability are subject to change without notice. We make reasonable efforts to display accurate information, but we do not warrant that pricing, descriptions, specifications, or other content is error free, and we reserve the right to correct any error and to cancel any order affected by such an error.

You agree to pay all charges for your order, including applicable taxes, fees, and shipping costs, using an authorized payment method. By submitting payment information, you represent that you are authorized to use the payment method and authorize us, or our payment processor, to charge the full order amount. We do not store full payment card details; payment is handled by third party processors subject to their own terms.

9.Shipping, title, and risk of loss

Shipping timeframes are estimates and are not guaranteed. USA Med Peptides is not liable for delays caused by carriers, customs, weather, or other circumstances beyond our reasonable control. Unless otherwise agreed in writing, title to and risk of loss for Products pass to you upon delivery to the carrier at our facility. You are responsible for providing an accurate shipping address and for ensuring that delivery and receipt of the Products is lawful at the destination. You are the importer of record for any international shipment and are responsible for all duties, taxes, customs clearance, and compliance with destination country law.

10.Hazard handling and assumption of risk

Peptide products must be handled only by Licensed Providers and their trained staff using appropriate safety controls. You are solely responsible for reviewing all available safety data, including any Safety Data Sheet (SDS) and certificate of analysis where provided, and for implementing appropriate handling, containment, personal protective equipment, storage, and disposal practices in accordance with applicable law and accepted laboratory safety standards.

11.Returns, refunds, and cancellations

Due to the nature of these products and our inability to verify the storage and handling of Products once they leave our control, all sales are final and Products are non returnable except where required by law. If a Product arrives damaged in transit, materially nonconforming, or incorrect, you must notify us at support@usamedpeptides.com within seven (7) days of delivery with your order number and supporting documentation, including photographs where applicable. Where we determine in our reasonable discretion that a claim is valid, your sole and exclusive remedy is, at our option, replacement of the affected Product or a refund of the amount paid for that Product. We do not accept returns of opened, used, or improperly stored Products.

12.Product information and no fitness representation

Product names, structures, descriptions, purity statements, and analytical data are provided for informational and identification purposes only. They do not constitute a representation, recommendation, or endorsement of any particular use, and they do not imply that a Product is suitable, safe, or effective for any purpose. You are responsible for independently verifying that a Product is appropriate for your intended lawful research and for validating any analytical result for your own application.

13.Disclaimer of warranties

Some jurisdictions do not allow the exclusion of certain implied warranties, so some of the above exclusions may not apply to you. In that case, any implied warranty is limited to the minimum scope and duration permitted by applicable law.

14.Limitation of liability

The limitations in this section apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you to the extent prohibited by law.

15.Indemnification

You agree to defend, indemnify, and hold harmless USA Med Peptides and its members, managers, officers, employees, agents, suppliers, and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, judgments, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your use or misuse of any Product, including any use outside the provider-use-only scope; (b) your breach of these terms or any representation made in them; (c) your violation of any law or regulation or the rights of any third party; or (d) any use, handling, storage, transfer, or disposal of a Product by you or anyone acting on your behalf or to whom you transfer a Product. USA Med Peptides reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense.

16.Intellectual property

The Site and its contents, including text, graphics, logos, trademarks, product names, images, and the selection and arrangement of content, are owned by or licensed to USA Med Peptides and are protected by intellectual property laws. The USA Med Peptides name and logo are trademarks of USA Med Peptides. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Site without our prior written consent, except as necessary to view the Site for its intended purpose.

17.Third party links and content

The Site may contain links to third party websites, resources, or services that are not owned or controlled by USA Med Peptides. We provide these links for convenience only and do not endorse and are not responsible for the content, products, policies, or practices of any third party. Your dealings with any third party are solely between you and that third party.

18.Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Site, you consent to the practices described in that policy.

19.Changes to these terms and to products

We may update these terms at any time by posting a revised version on the Site with a new effective date. Changes are effective when posted. Your continued use of the Site or purchase of Products after changes are posted constitutes acceptance of the revised terms. We encourage you to review these terms periodically. The terms in effect at the time you place an order govern that order. We may also modify, suspend, or discontinue any part of the Site or any Product at any time without liability.

20.Suspension and termination

We may suspend, restrict, or terminate your access to the Site or your account, and may refuse or cancel any order, at any time and for any lawful reason, including any actual or suspected violation of these terms, without notice and without liability to you. Provisions that by their nature should survive termination, including those governing prohibited uses, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution, survive any termination.

21.Governing law

These terms and any dispute arising out of or relating to them, the Site, or the Products are governed by the laws of the State of Florida, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

22.Dispute resolution, arbitration, and class action waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury trial.

Informal resolution first

Before initiating any formal proceeding, you agree to first contact us at support@usamedpeptides.com and provide a written description of the dispute and the relief sought, and to attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Binding arbitration

If the dispute is not resolved informally, you and USA Med Peptides agree that any dispute, claim, or controversy arising out of or relating to these terms, the Site, or the Products will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. The arbitration will take place in Palm Beach County, Florida, or by video or telephone where available, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this agreement to arbitrate.

If the class action waiver above is found unenforceable as to a particular claim, that claim, and only that claim, will be severed and may proceed in court, while all other claims remain in arbitration. If for any reason a dispute proceeds in court rather than arbitration, you and USA Med Peptides agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Palm Beach County, Florida.

23.Force majeure

USA Med Peptides is not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, government action, changes in law or regulation, labor disputes, carrier or supplier failures, utility or telecommunications failures, and internet or facility outages.

24.General provisions

• Entire agreement. These terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between you and USA Med Peptides regarding the subject matter and supersede all prior agreements and understandings.
• Severability. If any provision is held invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign or transfer these terms or any rights under them without our prior written consent. We may assign these terms freely, including in connection with a merger, acquisition, or sale of assets.
• No third party beneficiaries. Except for the indemnified parties named above, these terms do not create any third party beneficiary rights.
• Electronic communications. You consent to receive communications from us electronically, and you agree that electronic communications, agreements, and records satisfy any legal requirement that such communications be in writing.
• Headings. Section headings are for convenience only and do not affect interpretation.
